1. Introduction and Acceptance of Terms
Welcome to Lignia.art. These Terms of Service (“Terms”) govern your use of the Lignia.art website (the “Website”), the Art Show Tracker mobile application (the “App”), the Lignia Artwork Management platform (the “Platform”), and all related services provided by Lignia.art Studio LLC (“Lignia.art,” “we,” “us,” or “our”).
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services Description
2.1 Website Services
Our website provides information about our services, educational content, workshop registration, and access to the Lignia Artwork Management platform.
2.2 Art Show Tracker App
A mobile application for iOS (requires iOS 17.6 or later) and Android that helps artists manage their art show applications, track deadlines, and organize exhibition opportunities. The app includes both free and premium features available through in-app purchases.
2.3 Lignia Artwork Management Platform
A comprehensive system for cataloging, archiving, and managing artwork collections, including features for estate planning, legacy preservation, and family collaboration.
2.4 Professional Services
Workshops, consultations, and educational events including our Studio Stories series, designed to help artists and families manage artistic legacies.
3. User Accounts and Registration
3.1 Eligibility
You must be at least 13 years old to use our services. By using our services, you represent and warrant that you meet this age requirement.
3.2 Account Registration
Some features require account creation. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Acceptable Use Policy
You agree not to:
- Use our services for any unlawful purpose
- Upload or share content that infringes on intellectual property rights
- Distribute malware or harmful code
- Attempt to gain unauthorized access to our systems
- Harass, abuse, or harm other users
- Misrepresent yourself or your affiliation with any entity
- Interfere with or disrupt our services
- Use automated systems to access our services without permission
5. Intellectual Property Rights
5.1 Our Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by Lignia.art or its licensors and are protected by copyright, trademark, and other intellectual property laws.
5.2 Your Intellectual Property
You retain all rights to your artwork and content. You are responsible for protecting your own intellectual property rights and respecting the rights of others.
6. User Content and Artwork
6.1 Ownership
You retain full ownership of all artwork, images, and content you upload to our services. We do not claim ownership of your creative works.
6.2 License to Use
By uploading content to our services, you grant us a limited, non-exclusive, worldwide license to:
- Store, display, and reproduce your content as necessary to provide our services
- Create backups and archives for data protection
- Share content with family members or designated parties as per your instructions
- Process and organize your content using our cataloging features
6.3 Content Responsibility
You are solely responsible for your content and warrant that you have all necessary rights to upload and share it through our services.
7. Privacy and Data Protection
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to our data practices as described in the Privacy Policy.
8. Subscription and Payments
8.1 Free Trials and Freemium Features
We may offer free trials or limited free features. At the end of any free trial period, you may need to purchase a subscription to continue using premium features.
8.2 Premium Subscriptions
Premium features in the Art Show Tracker app and Lignia Artwork Management platform require payment. Subscription fees are billed in advance on a recurring basis (monthly or annually).
8.3 Workshop and Event Fees
Workshop registrations, including Studio Stories events, require payment at the time of booking. Fees are processed through Eventbrite or other third-party platforms.
8.4 Refunds and Cancellations
- Subscriptions: You may cancel at any time. Cancellations take effect at the end of the current billing period.
- Workshops: Cancellations made 48 hours before the event receive a full refund. Later cancellations may receive partial or no refund.
- In-App Purchases: Subject to Apple App Store policies.
8.5 Payment Processing
Payments are processed by third-party providers (Stripe, Apple, Eventbrite). We do not store credit card information on our servers.
9. Service Availability and Modifications
9.1 Service Availability
We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. Services may be temporarily unavailable for maintenance or updates.
9.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice for significant changes affecting paid subscriptions.
10. Disclaimers and Limitation of Liability
10.1 No Professional Advice
IMPORTANT: Our services, including estate planning features and workshops, are for informational and organizational purposes only. We do not provide legal, financial, or tax advice. Always consult qualified professionals for such matters.
10.2 Service Disclaimer
OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGNIA.ART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
10.4 Maximum Liability
Our total liability for any claims under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Lignia.art, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of another party
- Your content or artwork uploaded to our services
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us or using account closure features within our services.
12.2 Termination by Us
We may suspend or terminate your access to our services if you violate these Terms or for any other reason at our sole discretion.
12.3 Effects of Termination
Upon termination:
- Your right to use our services immediately ceases
- We may delete your account and associated data after a reasonable period
- You remain liable for any outstanding fees
- Provisions that should survive termination will remain in effect
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
13.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to bring or participate in any class or collective action.

We may update these Terms from time to time. We will notify you of material changes by:

- Sending email notification for significant changes

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lignia.art regarding our services.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

The Art Show Tracker app is distributed through the Apple App Store or the Google Play Store. Your use of the app is also subject to Apple’s and Google’s Terms of Use and any applicable policies. In-app purchases are processed by Apple or Google and are subject to their refund policies.
